These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between Betty Jet (“Company,” “we,” “us,” or “our”) and you (“Client,” “Customer,” “you,” or “your”) governing your use of our aviation fuel brokerage services and website.
BY ACCESSING OUR WEBSITE, REQUESTING A FUEL QUOTE, PLACING A FUEL ORDER, OR USING ANY OF OUR SERVICES, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
- You have read, understood, and agree to be bound by these Terms
- You have the legal authority to enter into this Agreement
- You will comply with all applicable laws and regulations
- You accept all risks associated with our Services as described herein
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF OUR SERVICES AND WEBSITE.
These Terms incorporate by reference our Privacy Policy, which governs our collection and use of your information. Both documents together constitute the entire agreement between you and Betty Jet.
2. MODIFICATIONS TO TERMS
2.1 Right to Modify
We reserve the right to modify, amend, update, or replace any provision of these Terms at any time, at our sole discretion, with or without prior notice.
2.2 Notice of Changes
Changes will be effective immediately upon:
- Posting the revised Terms on our website at https://www.bettyjet.com
- Updating the “Last Updated” date at the top of these Terms
- Sending email notification for material changes (at our discretion)
2.3 Continued Use Constitutes Acceptance
Your continued use of our Services after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must immediately discontinue use of our Services.
2.4 Duty to Review
You are responsible for regularly reviewing these Terms. We recommend checking periodically for updates.
3. DESCRIPTION OF SERVICES
3.1 Fuel Brokerage Services
Betty Jet provides aviation fuel brokerage and coordination services, including but not limited to:
Aviation Fuel Services:
- Jet fuel (Jet A, Jet A-1) procurement and delivery
- Aviation gasoline (Avgas) coordination
- Into-plane fueling arrangements
- Fuel quality assurance coordination
- Emergency and after-hours fuel services
- Fuel price quotes and market information
Ground Fuel Services:
- Diesel fuel delivery for job sites
- Generator refueling services
- Rural and off-grid fueling solutions
- Construction site fuel delivery
- Agricultural fuel delivery
- Emergency fuel response
- Fuel for hospitals and critical infrastructure
- Commercial account fueling plans
Additional Services:
- 24/7 customer support and dispatch
- Flight planning fuel coordination
- Multi-location fuel arrangements
- Fuel cost management and reporting
- Volume discount programs
- Account management services
3.2 Role as Broker
IMPORTANT: Betty Jet acts as a broker and intermediary between you and third-party fuel suppliers, airports, fixed-base operators (FBOs), and service providers. We:
- Do NOT own, operate, or control fuel storage facilities
- Do NOT physically deliver or pump fuel
- Do NOT manufacture or refine fuel products
- Coordinate and arrange services provided by independent third parties
- Facilitate transactions between customers and suppliers
3.3 No Guarantees
While we strive to provide excellent service, we make NO GUARANTEES regarding:
- Fuel availability at any location
- Specific pricing or rates
- Delivery timeframes or schedules
- Quality or specifications of fuel (beyond industry standards)
- Airport or FBO access or permissions
- Weather-related delays or cancellations
- Third-party supplier performance
4. ELIGIBILITY AND ACCOUNT REQUIREMENTS
4.1 Business Customers Only
Our Services are intended for business-to-business (B2B) transactions only. You represent and warrant that:
- You are a business entity or authorized representative thereof
- You are at least 18 years of age
- You have the legal authority to bind your company to this Agreement
- All information provided is accurate, current, and complete
4.2 Account Creation
To use our Services, you may be required to:
- Provide accurate business and contact information
- Submit credit applications and financial references
- Provide aircraft registration and insurance documentation
- Complete customer verification and due diligence procedures
- Agree to payment terms and credit limits
4.3 Account Security
You are responsible for:
- Maintaining the confidentiality of account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use
- Ensuring only authorized personnel place orders
4.4 Account Suspension or Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms
- You provide false or misleading information
- You fail to pay amounts owed
- We suspect fraudulent or illegal activity
- Required by law or regulation
- At our sole discretion for any reason
5. ORDERING AND PRICING
5.1 Fuel Quotes and Requests
Quotes are NOT Binding: Fuel quotes provided verbally, via email, or through our website are:
- Estimates only and subject to change
- Valid only for the time period specified (typically 24-48 hours)
- Subject to supplier availability and confirmation
- Not binding until confirmed in writing
- Subject to market fluctuations and supplier pricing
5.2 Order Placement and Acceptance
Orders are placed when you:
- Submit a request via phone, email, or website
- Confirm a fuel quote verbally or in writing
- Provide necessary flight or delivery details
Orders are accepted when:
- We provide written confirmation
- We confirm supplier and pricing
- We communicate acceptance to you
We reserve the right to refuse any order for any reason including:
- Insufficient credit or payment history
- Inability to secure supplier or location
- Suspected fraud or policy violations
- Force majeure or operational constraints
5.3 Pricing and Fees
Fuel Pricing Includes:
- Cost of fuel from supplier
- Betty Jet brokerage fee/markup
- Applicable taxes and fees
- Airport or FBO fees (when applicable)
- Into-plane service charges
- Delivery or transportation fees
Additional Charges May Apply:
- After-hours or emergency service fees
- Expedited delivery charges
- Minimum order fees
- Trip charges or delivery fees for remote locations
- Standby time or delays caused by customer
- Cancellation or rescheduling fees
- Payment processing fees
- Returned payment or NSF fees
Pricing Changes: Prices are subject to change at any time based on:
- Market conditions and supplier pricing
- Fuel taxes and regulatory changes
- Location-specific costs
- Volume and delivery requirements
- Credit terms and payment methods
5.4 Price Discrepancies
In the event of pricing errors or discrepancies:
- We reserve the right to cancel orders with incorrect pricing
- You will be notified and given the option to accept corrected pricing
- We are not obligated to honor erroneous quotes or prices
Accepted Payment Methods and Terms for Aviation Fuel
6.1 Payment Methods
We accept the following payment methods:
- Credit cards (Visa, MasterCard, American Express, Discover)
- Debit cards
- Wire transfers
- ACH/electronic funds transfer
- Company checks (with approved credit)
- Invoicing with net terms (subject to credit approval)
6.2 Payment Due
Prepayment Required: Unless you have an approved credit account, full payment is required before fuel delivery.
Credit Account Terms:
- Net 15, Net 30, or other terms as specified in writing
- Subject to credit approval and periodic review
- Personal guarantees may be required
- Credit limits apply and may be adjusted
6.3 Late Payments
Late payments are subject to:
- Late payment fees of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less
- Suspension of service and credit privileges
- Collection costs including reasonable attorney fees
- Reporting to credit bureaus
6.4 Disputed Charges
To dispute charges, you must:
- Notify us in writing within 10 business days of invoice date
- Provide detailed explanation and supporting documentation
- Continue to pay undisputed amounts
- Cooperate with investigation
Failure to timely dispute charges constitutes acceptance.
6.5 Taxes
You are responsible for all applicable taxes, fees, duties, and assessments including:
- Federal and state fuel excise taxes
- Sales and use taxes
- Airport and FBO fees
- Environmental fees
- Any other governmental charges
7. CANCELLATIONS AND MODIFICATIONS
7.1 Customer-Initiated Changes
Cancellation Policy:
- Cancellations must be made at least 4 hours prior to scheduled delivery/fueling
- Cancellations with less than 4 hours notice may incur cancellation fees
- No-show or refused deliveries will be charged in full plus additional fees
Modification Requests:
- Changes to orders must be requested as soon as possible
- Changes are subject to supplier approval and availability
- Additional fees may apply for modifications
- We cannot guarantee accommodation of changes
7.2 Cancellation Fees
Cancellation fees may include:
- Supplier cancellation charges
- Trip charges or dispatch fees
- Minimum order fees
- Administrative processing fees
- Lost profit margins
Cancellation fees range from $100 to full order value depending on timing and circumstances.
7.3 Company-Initiated Cancellations
We reserve the right to cancel or reschedule orders due to:
- Supplier unavailability or cancellation
- Weather or safety concerns
- Airport or FBO closures or restrictions
- Force majeure events
- Non-payment or credit issues
- Suspected fraud or policy violations
In such cases, we will notify you promptly and:
- Refund any prepayments (if applicable)
- Attempt to arrange alternative solutions
- Not be liable for consequential damages
8. DELIVERY AND PERFORMANCE
8.1 Delivery Arrangements
You are responsible for:
- Providing accurate delivery/fueling location details
- Ensuring aircraft or equipment is accessible
- Providing necessary access permissions and security clearances
- Being available to receive fuel at scheduled time
- Having qualified personnel present during fueling
- Meeting all safety requirements
We coordinate but do not guarantee:
- Specific delivery or fueling times
- Availability of into-plane or delivery services
- Airport or FBO access
- Fuel truck or equipment availability
8.2 Delays and Disruptions
Delivery may be delayed or prevented by:
- Weather conditions and safety concerns
- Air traffic control or airport restrictions
- Flight delays or schedule changes
- Equipment failures or breakdowns
- Supplier delays or shortages
- Security issues or emergencies
- Force majeure events
We are NOT liable for delays or inability to deliver fuel due to circumstances beyond our reasonable control.
8.3 Minimum Orders
Minimum order quantities may apply based on:
- Location and distance
- Fuel type and specifications
- Supplier requirements
- Time of delivery (after-hours, weekends, holidays)
Minimum orders typically range from 100 to 500 gallons but vary by location.
8.4 Fuel Quality
Third-Party Responsibility: Fuel quality is the responsibility of the supplier and refiner, not Betty Jet.
Quality Standards: Fuel provided meets industry standards including:
- ASTM specifications for aviation fuels
- API standards for diesel and gasoline
- Applicable federal and state regulations
Quality Issues: If you experience fuel quality issues:
- Notify us immediately
- Do not use suspected contaminated fuel
- Preserve samples for testing
- Cooperate with investigation
We will coordinate with suppliers to investigate and resolve quality concerns but are not liable for fuel quality defects or resulting damages.
9. LIMITATIONS OF LIABILITY
9.1 Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, BETTY JET PROVIDES SERVICES “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of accuracy, reliability, or completeness
- Warranties of uninterrupted or error-free service
- Warranties regarding fuel quality, delivery time, or availability
- Warranties regarding third-party supplier performance
WE SPECIFICALLY DISCLAIM ANY WARRANTIES THAT:
- Services will meet your requirements or expectations
- Fuel will be available at requested locations or times
- Suppliers will perform as expected
- Services will be free from errors or interruptions
- Information provided is accurate or current
9.2 Limitation on Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BETTY JET, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES INCLUDING:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Cost of substitute goods or services
- Loss of use of aircraft or equipment
- Flight delays, cancellations, or diversions
- Business interruption or downtime
- Loss of goodwill or reputation
- Fuel contamination or quality issues
- Aircraft damage or mechanical issues
- Personal injury or property damage
- Environmental damages or cleanup costs
- Regulatory fines or penalties
WHETHER ARISING FROM:
- Breach of contract
- Tort (including negligence)
- Strict liability
- Any other legal theory
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.3 Cap on Total Liability
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF:
(A) THE TOTAL AMOUNT YOU PAID TO BETTY JET FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM, OR
(B) FIVE HUNDRED DOLLARS ($500.00 USD)
This limitation applies regardless of the number of claims or causes of action.
9.4 Third-Party Actions
WE ARE NOT LIABLE FOR:
- Actions, omissions, or negligence of fuel suppliers
- Actions, omissions, or negligence of airports or FBOs
- Fuel quality issues caused by suppliers or refiners
- Equipment failures or malfunctions by third parties
- Airport closures, restrictions, or access denials
- Weather-related delays or cancellations
- Force majeure events beyond our control
9.5 Essential Basis of Agreement
You acknowledge and agree that:
- These limitations are reasonable and reflect the nature of our brokerage services
- Our pricing is based on these liability limitations
- We would not provide Services without these protections
- These limitations are an essential basis of the bargain between us
9.6 Exceptions
Some jurisdictions do not allow exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
10. INDEMNIFICATION
10.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Betty Jet, its officers, directors, employees, agents, affiliates, successors, assigns, suppliers, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, demands, or fees (including reasonable attorneys’ fees and court costs) arising from or related to:
Your Use of Services:
- Your violation of these Terms or our Privacy Policy
- Your violation of any applicable laws or regulations
- Your negligence or willful misconduct
- Your breach of representations or warranties
Aircraft and Operations:
- Operation of your aircraft or equipment
- Aircraft damage or mechanical failures
- Flight operations, delays, or cancellations
- Pilot error or crew negligence
- Maintenance issues or airworthiness concerns
Third-Party Claims:
- Claims by passengers, crew, or other third parties
- Environmental claims or contamination
- Personal injury or property damage claims
- Regulatory violations or enforcement actions
Information and Orders:
- Provision of false, inaccurate, or misleading information
- Unauthorized use of another party’s information
- Improper fuel specifications or requirements
- Failure to provide adequate delivery instructions
Payment and Financial:
- Payment disputes or chargebacks
- Bounced checks or insufficient funds
- Credit card fraud or unauthorized use
- Collection costs and legal fees
10.2 Defense and Settlement
We reserve the right to:
- Assume exclusive defense and control of any matter subject to indemnification
- Require you to cooperate in the defense
- Approve any settlement or compromise
You may not settle any claim without our prior written consent.
10.3 Survival
Your indemnification obligations survive termination of these Terms and any services provided.
11. INSURANCE REQUIREMENTS
11.1 Your Insurance
You represent and warrant that you maintain adequate insurance coverage including:
For Aviation Services:
- Aircraft liability insurance with minimum limits as required by law
- Hull insurance covering aircraft damage
- Passenger liability coverage (if applicable)
- Airport liability insurance as required by airports/FBOs
For Ground Services:
- Commercial general liability insurance
- Auto liability insurance for vehicles receiving fuel
- Workers’ compensation insurance (if applicable)
- Property damage coverage
11.2 Proof of Insurance
We reserve the right to request:
- Certificates of insurance
- Additional insured endorsements
- Waivers of subrogation
- Evidence of coverage limits
11.3 Our Insurance
Betty Jet maintains appropriate business insurance. However, you agree that our insurance does not constitute an assumption of liability beyond the limitations set forth in these Terms.
12. REPRESENTATIONS AND WARRANTIES
12.1 Your Representations
You represent, warrant, and covenant that:
Authority and Capacity:
- You have full power and authority to enter into this Agreement
- You are legally authorized to bind your company
- This Agreement is enforceable against you
- You are at least 18 years of age
Accurate Information:
- All information provided is true, accurate, and complete
- Aircraft registration and documentation is current and valid
- Contact and billing information is accurate
- You will promptly update any changes to information
Compliance with Laws:
- You will comply with all applicable aviation regulations
- You will comply with all fuel safety and handling requirements
- You will comply with all tax and reporting obligations
- You will comply with all airport and FBO rules
- You will comply with all environmental regulations
Aircraft and Operations:
- Your aircraft is airworthy and properly maintained
- Your pilots are properly licensed and qualified
- You have authority to operate at requested locations
- You will follow all safety procedures during fueling
No Prohibited Use:
- You will not use Services for any illegal purpose
- You will not use Services in violation of sanctions or embargoes
- You will not transport illegal goods or contraband
- You will not engage in fraudulent activity
12.2 Breach of Representations
Breach of any representation or warranty constitutes a material breach of these Terms and may result in:
- Immediate termination of Services
- Cancellation of pending orders
- Acceleration of all amounts due
- Legal action and damages
13. INTELLECTUAL PROPERTY
13.1 Our Property
All content on our website and in our materials, including but not limited to:
- The “Betty Jet” name, logo, and trademarks
- Website design, layout, and graphics
- Text, images, videos, and multimedia content
- Software, code, and functionality
- Proprietary processes and methods
Is owned by or licensed to Betty Jet and protected by:
- Copyright laws
- Trademark laws
- Trade secret laws
- Other intellectual property laws
13.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use our website for its intended purpose
- View and print content for your personal business use
- Use our Services in accordance with these Terms
You may NOT:
- Copy, reproduce, or distribute our content
- Modify, create derivative works, or reverse engineer
- Use our trademarks or branding without permission
- Frame or mirror our website
- Use automated tools to access or scrape our website
- Sell, license, or commercialize our content
13.3 Feedback and Suggestions
Any feedback, suggestions, or ideas you provide to us become our property. We may use such feedback without any obligation to you.
14. PROHIBITED CONDUCT
You agree NOT to:
Illegal or Harmful Activities:
- Use Services for any illegal purpose
- Violate any applicable laws or regulations
- Engage in fraudulent or deceptive practices
- Transport illegal goods or contraband
- Violate sanctions, embargoes, or export controls
Interference with Services:
- Disrupt or interfere with our systems or networks
- Introduce viruses, malware, or harmful code
- Attempt unauthorized access to our systems
- Use automated bots, scripts, or scrapers
- Overload or impair our infrastructure
Misuse of Information:
- Provide false or misleading information
- Use another party’s information without authorization
- Impersonate any person or entity
- Misrepresent your affiliation or authority
Abuse of Services:
- Order fuel with intent not to pay
- Submit fraudulent payment information
- Abuse refund or cancellation policies
- Manipulate pricing or quotes
- Circumvent credit limits or payment terms
Competitive or Harmful Actions:
- Use our Services to benefit competitors
- Reverse engineer our processes or pricing
- Solicit our suppliers or employees
- Disparage or defame Betty Jet
Safety Violations:
- Violate aviation safety regulations
- Ignore fuel handling safety procedures
- Operate unairworthy aircraft
- Endanger personnel or property
15. DISPUTE RESOLUTION
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
15.2 Jurisdiction and Venue
You irrevocably consent to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida for any disputes arising from or related to these Terms or our Services.
You waive any objection to venue in such courts and any claim that such courts are an inconvenient forum.
15.3 Informal Resolution
Before filing any legal action, you agree to:
- Contact us in writing describing the dispute
- Provide us at least 30 days to attempt resolution
- Negotiate in good faith to resolve the matter
15.4 Class Action Waiver
YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, CONSOLIDATED, OR PRIVATE ATTORNEY GENERAL ACTION.
You waive any right to:
- Participate in a class action lawsuit
- Join a class-wide arbitration
- Act as a representative or private attorney general
- Consolidate claims with other parties
If this class action waiver is found unenforceable, any arbitration agreement shall be void.
15.5 Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND BETTY JET WAIVE THE RIGHT TO A JURY TRIAL.
Any disputes will be decided by a judge without a jury.
15.6 Statute of Limitations
Any claim arising from or related to these Terms or our Services must be filed within ONE (1) YEAR after the claim arose or the cause of action accrued.
Claims filed after this period are permanently barred, regardless of any statute of limitations that might otherwise apply.
15.7 Attorneys’ Fees
In any legal action to enforce these Terms:
- The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs
- This includes fees for appeals and collection efforts
- Betty Jet may recover fees even if you partially prevail
16. FORCE MAJEURE
16.1 Events Beyond Our Control
We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to:
Natural Events:
- Weather conditions (hurricanes, storms, snow, ice, fog)
- Earthquakes, floods, fires, or natural disasters
- Acts of God
Governmental and Regulatory:
- Government orders, regulations, or restrictions
- Travel bans or airspace closures
- Customs or border delays
- Regulatory changes or enforcement actions
Infrastructure and Utilities:
- Power outages or electrical failures
- Internet or telecommunications disruptions
- Transportation interruptions
- Fuel shortages or supply disruptions
Third-Party Actions:
- Supplier failures or delays
- Airport or FBO closures or restrictions
- Labor strikes or work stoppages
- Terrorist acts or civil unrest
Other Events:
- Pandemics, epidemics, or public health emergencies
- War, military action, or civil disturbance
- Cyberattacks or system failures
- Equipment failures or technical issues
16.2 Effect of Force Majeure
During force majeure events:
- Our performance obligations are suspended
- Time for performance is extended
- We are not liable for delays or non-performance
- You remain obligated to pay for services rendered
16.3 Notification and Mitigation
We will:
- Notify you of force majeure events when reasonably possible
- Use commercially reasonable efforts to mitigate impacts
- Resume performance as soon as reasonably practicable
16.4 Extended Force Majeure
If force majeure continues for more than 30 days, either party may terminate affected orders without liability.
17. CONFIDENTIALITY
17.1 Confidential Information
“Confidential Information” includes:
- Pricing, rates, and financial terms
- Business strategies and operations
- Customer lists and information
- Proprietary processes and methods
- Trade secrets and know-how
- Non-public information exchanged between parties
17.2 Obligations
You agree to:
- Keep Confidential Information strictly confidential
- Not disclose to any third parties without consent
- Use only for the purpose of engaging our Services
- Protect with reasonable security measures
17.3 Exceptions
Obligations do not apply to information that:
- Is or becomes publicly available
- Was known prior to disclosure
- Is independently developed
- Is required to be disclosed by law
17.4 Survival
Confidentiality obligations survive termination of these Terms for three (3) years.
18. TERMINATION
18.1 Termination by Either Party
Either party may terminate this Agreement:
- With 30 days’ written notice to the other party
- Immediately if the other party materially breaches these Terms
- Immediately if the other party becomes insolvent or bankrupt
18.2 Immediate Termination by Us
We may immediately terminate or suspend your access if:
- You violate these Terms or our Privacy Policy
- You fail to pay amounts due
- You engage in fraudulent or illegal activity
- You provide false or misleading information
- We suspect security or safety risks
- Required by law or regulation
- At our sole discretion for any reason
18.3 Effect of Termination
Upon termination:
- Your right to use our Services immediately ceases
- All amounts owed become immediately due and payable
- We may cancel pending orders
- Sections that by nature should survive shall survive
18.4 No Refunds
Except as required by law, we do not provide refunds for:
- Services already rendered
- Prepaid accounts or deposits
- Cancellation or termination fees
18.5 Surviving Provisions
The following sections survive termination:
- Payment obligations
- Limitations of liability

19. MISCELLANEOUS PROVISIONS
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any written agreements between us, constitute the entire agreement between you and Betty Jet and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.
19.2 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction:
- That provision shall be severed
- The remaining provisions shall remain in full force and effect
- The invalid provision shall be replaced with a valid provision that most closely reflects our intent
19.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Any waiver must be:
- In writing
- Signed by an authorized representative of Betty Jet
- Specific to the particular instance
No waiver of any provision shall constitute a waiver of any other provision or subsequent waiver of the same provision.
19.4 Assignment
You may NOT assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent.
We may freely assign these Terms to:
- Any affiliate or subsidiary
- A successor in interest through merger, acquisition, or sale of assets
- Any third party at our discretion
Any attempted assignment in violation of this provision is void.
19.5 No Third-Party Beneficiaries
These Terms are for the sole benefit of you and Betty Jet. No third party has any right to enforce or benefit from these Terms.
19.6 Independent Contractors
You and Betty Jet are independent contractors. These Terms do not create:
- A partnership, joint venture, or agency relationship
- An employment relationship
- A franchise or distributorship
Neither party has authority to bind the other party.
19.7 Headings
Section headings are for convenience only and do not affect interpretation of these Terms.
19.8 Interpretation
In these Terms:
- “Including” means “including but not limited to”
- Singular includes plural and vice versa
- “Or” is not exclusive
- References to sections include subsections
19.9 Electronic Communications
You consent to receive communications from us electronically, including:
- Email communications
- Posted notices on our website
- Text messages (if provided)
Electronic communications satisfy any legal requirement for written communication.
19.10 Language
These Terms are drafted in English. Any translations are for convenience only. In case of conflict, the English version controls.
19.11 Force and Effect
These Terms shall remain in full force and effect while you use our Services or have any outstanding obligations to us.
